David Smilow (Chairman) has more than 20 years experience in the financial services industry. Mr. Smilow founded TeleBank in 1989, serving as CEO through 1998 and Chairman until its sale to E*Trade in 1999. Under his guidance, TeleBank increased from $50 million in assets to over $5 billion and became the largest Internet bank worldwide. Prior to founding TeleBank, Mr. Smilow was a fixed income portfolio manager and trader at Goldman Sachs and Drexel Burnham Lambert. Mr. Smilow is a graduate of Harvard Business School and Johns Hopkins University.

Laurence P. Greenberg (President and CEO) is a seasoned executive in the financial services and retail banking industry. Mr. Greenberg served as First Vice President of Consumer Banking at Merrill Lynch. Previously, he was principal and co-founder of The Oysterhouse Group, LLC, a management consulting firm focused on retail delivery of financial services products. Mr. Greenberg was the Chief Operating Officer of Telebank, now E*TRADE Bank, where he oversaw all marketing and operations and was instrumental in driving the direct bank's deposit growth from $200 million in 1994 to more than $8 billion in 2000. Mr. Greenberg holds a Bachelor of Arts degree from The Johns Hopkins University.

David Lau (Chief Operating Officer) has more than 20 years of professional experience, with expertise in both financial services operations and marketing. Prior to joining Jefferson National Financial, he was principal and co-founder of The Oysterhouse Group, LLC, a management consulting firm focused on retail delivery of financial services products. Mr. Lau has held key positions at E*TRADE Bank, serving as Senior Vice President of Operations, and its predecessor TeleBank, serving as Senior Vice President of Marketing, where deposits more than doubled during his tenure. He holds a B.A. in Economics from William and Mary.

Michael T. Girouard (Chief Investment Officer, Jefferson National Financial Corp.) Prior to joining in 2005, Mr. Girouard was a Senior Vice President with HSBC Equity Capital Markets, in London and New York. From 1997 to 2001, Mr. Girouard was an Executive Director with Goldman Sachs International in Equity Capital Markets based in London. Mr. Girouard was Chief Investment Officer of Telebank (now part of E*Trade Group) where he worked from 1990 to 1997. Mr. Girouard holds a BA in Economics from Columbia College, Columbia University and an MBA from the Wharton School of Business.

Joe Vap (Chief Financial Officer) joined Jefferson National Life Insurance Company as Controller in 2006. Prior to that, Mr. Vap served as Director of Financial Operations of Integrity Life Insurance Company, where he held various positions starting in 1994. Mr. Vap also served as Controller of Great Financial Bank, now part of US Bank. Mr. Vap began his career as an auditor with Deloitte & Touche, LLP and has been a CPA since 1992. Mr. Vap holds a BS in Accounting from the University of Kentucky.

Craig Hawley (General Counsel and Secretary)—Prior to joining Jefferson National Financial Corp. Mr. Hawley served as Assistant General Counsel at ARM Financial Group, Inc. and as an associate at Wyatt, Tarrant & Combs. Mr. Hawley holds a B.S.B.A in Business Management - Decisions Information Systems from the University of Louisville, Louisville, Kentucky and a J.D. from The University of Louisville, Louisville, Kentucky.

Deborah Newman (Director Corporate Communications) has more than 20 years experience. As Vice President Corporate Communications at E*TRADE Bank, Ms. Newman led all media and investor relations for the nation's largest Internet bank. She also served as VP Corporate Communications at TeleBank, leading IR and PR for the Company's IPO, M&A and new product launches. Ms. Newman has worked on several award winning feature films and nationwide advertising campaigns. She has an MFA in Screenwriting from the American Film Institute, and a B.A. in Economics from Johns Hopkins University.

Courtney Erickson (Director of Human Resources) has more than 10 years professional experience, most recently serving as Human Resources Manager for General Electric, Consumer Products division. Previously, Ms. Erickson served as Human Resources Manager for Refrigeration Component Manufacturing, a division of GE Appliances, where she earned a Six Sigma Black Belt for her accomplishments in process improvement projects for the e-business team. Ms. Erickson earned a BA in Biology from Transylvania University.

Brian Heaphy (Director of Mergers & Acquisitions) is an attorney with experience in the legal and financial services industry. Most recently he was an associate at Davis Polk & Wardwell specializing in acquisitions, divestitures, joint venture arrangements and shareholder agreements for a wide range of global clients, including several Fortune 500 companies. Previously he was a Financial Analyst for JP Morgan Securities, Inc. and Goldman Sachs & Co. in the Fixed Income Division. Mr. Heaphy holds a BA in Accounting from Queens College and a JD from Brooklyn Law School.
